PROVIDER AGREEMENT

Provider Terms & Conditions.

Last updated: 28 October 2026

These terms govern applications for, and use of, a provider listing on IT-Guy, a directory initiative powered by Xii Group. By applying for or maintaining a listing, you confirm that you have read and agree to these terms. If you do not agree, do not apply for or use a provider listing.

1. The directory service

IT-Guy is a directory intended to help visitors discover independent IT service providers. A listing is not an employment relationship, partnership, agency, franchise, endorsement or guarantee of work. Unless a separate written agreement says otherwise, providers operate independently and are responsible for their own services, customers, pricing, delivery, taxes, licences, insurance and legal obligations.

2. Directory listing eligibility and verification

IT-Guy is open to independent IT service providers regardless of whether they have an account with, purchase services from, or host client services through Xii Group. You do not need to be an Xii Group customer, provide a Xii Group license ID (license ID), or meet any Xii Group service, spending or plan-count requirement to apply for or maintain a basic directory listing.

To qualify for and keep a listing active, you must:

  • Provide truthful, accurate and current business, contact and service information, and promptly update material changes.
  • Offer legitimate IT services and represent your capabilities, qualifications and experience honestly.
  • Comply with these terms and applicable laws.
  • Respond professionally to enquiries and comply with the directory's privacy, security and acceptable-use requirements.

Xii Group account status, a valid license ID, active hosted client services and other supporting evidence may be considered only where relevant to a separately described verification tier, badge, product offer or provider benefit. These are not prerequisites for an ordinary listing. There is no minimum number of domains, website hosting plans, email plans or SaaS plans required to be listed.

3. Application and approval

Submitting an application does not guarantee approval. We may request clarification or verification and may decline an application where eligibility cannot be confirmed, information is incomplete or misleading, or a security, compliance or operational concern exists. Approval is not a guarantee that a provider's work has been independently audited or endorsed.

4. Keeping a listing active

You must continue meeting the eligibility requirements for as long as your listing remains active. If you cease to qualify, your account is suspended or overdue, your qualifying hosted service ends, or your information cannot be verified, IT-Guy may hide, pause, restrict or remove your listing. Where reasonably practical, we may give notice and an opportunity to correct the issue; immediate action may be taken for fraud, security, legal or serious customer-protection concerns. A listing may be restored once the issue is resolved and eligibility is reverified.

5. Listing content and permission

You are responsible for the accuracy and legality of content you submit, including business names, descriptions, logos, profile images, service claims, portfolio links and contact details. You warrant that you have the rights and permissions needed to submit and publish that content. You grant IT-Guy and Xii Group a non-exclusive, worldwide, royalty-free permission to host, format, display, reproduce and promote that content solely to operate, maintain and market the directory. You retain ownership of your content. Do not upload unlawful, misleading, defamatory, infringing, abusive, malicious or confidential third-party information.

6. Provider benefits, trials and pricing

IT-Guy directory benefits. An approved listing lets providers present their services, skills, portfolio and public contact options in one place, improve discoverability by prospective clients, receive quote enquiries through the directory, and display approved verification or qualification badges. Listings are free, subject to application approval and ongoing compliance with these terms. IT-Guy does not guarantee search ranking, enquiries, contracts, income or project outcomes. Providers are responsible for keeping listing information accurate, responding professionally, and agreeing their own scope, fees, timelines and client contracts.

7. Verification tiers and badges

IT-Guy may display provider verification tiers or service-related badges based on information reviewed by Xii Group, such as identity verification, active hosted services and service-volume evidence. A badge describes the status recorded at the time of review; it is not a guarantee of quality, results, financial standing beyond the checks described, or future performance. Tier upgrades are subject to review and approval, and providers must keep the evidence used for their tier accurate. A provider must not claim a tier or verification status that has not been granted.

8. Customer enquiries and provider conduct

Providers must respond professionally, accurately represent their capabilities, protect customer information, honour commitments, disclose material limitations and resolve customer issues fairly. Do not misuse enquiry details for unrelated purposes, spam, unlawful marketing, resale or disclosure. Obtain any required permissions before sending marketing communications. IT-Guy may investigate credible reports and request information relevant to a complaint.

9. Provider-client contracts and payments

Unless a separate written agreement explicitly says otherwise, IT-Guy does not enter into, negotiate, supervise or guarantee contracts between providers and clients and does not receive or hold project payments on their behalf. Provider and client must agree directly on scope, deliverables, price, taxes, payment schedule, intellectual property, confidentiality, support, warranties, cancellations and dispute handling. Providers remain responsible for the services they sell and deliver.

10. Privacy and personal information

You must handle personal information obtained through IT-Guy lawfully, securely and only for appropriate purposes. Use enquiry details to respond to the relevant request unless the person has separately agreed to another use or another lawful basis applies. Protect account credentials, restrict access, promptly report suspected compromises and comply with applicable privacy and direct-marketing laws. Our collection and use of information is described in the IT-Guy Privacy Policy.

11. Prohibited activity

You must not impersonate another person or business; submit false eligibility details; manipulate reviews or directory visibility; scrape or harvest personal information; distribute malware or unsolicited bulk messages; attempt unauthorised access; infringe intellectual property; or use the directory for unlawful, fraudulent, discriminatory, abusive or harmful purposes.

12. Suspension, removal and termination

We may suspend, restrict or remove a listing or provider account if these terms are breached, eligibility is lost, information is inaccurate, a legal obligation requires action, or we reasonably consider action necessary to protect users, the service or Xii Group. Where appropriate, we may request correction first. You may request removal of your listing by contacting support@xiigroup.co.za. Certain records may be retained as described in the Privacy Policy or where required for security, legal or dispute-resolution purposes.

13. Account activity, reminders and deletion

Providers should sign in periodically to keep their provider account and listing active. After 60 consecutive days without a sign-in, IT-Guy may send an inactivity notice asking the provider to sign in. If the provider does not sign in within 30 days after that notice, the provider account and associated listing data may be permanently deleted. A sign-in after the notice resets the inactivity period and cancels the pending deletion.

If an application has been approved but the provider has not set a password within 30 days after approval, IT-Guy may send a password-setup reminder. If the provider still has not set a password within 30 days after that reminder, the provider account and associated data may be permanently deleted.

14. Data retention and automated cleanup

To limit unnecessary storage, quote requests are automatically deleted 90 days after creation; old document-review log records and portal notifications may be deleted after 60 days; and rejected qualification requests are deleted after 30 days. Qualifications with an explicit expiry date are removed after that date. If no expiry date is supplied, a qualification is treated as expiring 12 months after its issue date and is removed when expired. IT-Guy may send reminders about expired or expiring verification and qualification records. Automated deletion removes associated stored files where applicable. Certain information may be retained where required by law, for security, or to resolve disputes.

15. Verification expiry and tier recalculation

Identity, address and company verification may expire 12 months after the verification was approved. Once expired, the relevant verification status is reset and the provider must submit current information and evidence for revalidation. IT-Guy may email the provider about expired verification. Verification tiers are recalculated when verification expires or qualifications are removed, and a tier may be lowered if the current evidence no longer meets its requirements. Only providers currently at the Accredited Specialist tier may request an upgrade to Enterprise Partner; other tiers are calculated from current evidence and are not manually requestable.

16. Availability and changes

We aim to operate the directory reliably but do not promise uninterrupted availability, search-engine visibility, leads, sales or business outcomes. Features, layout, eligibility checks and directory operations may change. Material changes to these terms will be published on this page with an updated date; continued use after the effective date constitutes acceptance to the extent permitted by law. If you do not accept a change, you should stop using the listing and request removal.

17. Disclaimers and liability

To the extent permitted by applicable law, IT-Guy is provided as a directory and connection service and does not guarantee the identity, quality, suitability, availability or performance of any provider or client. Users should conduct their own due diligence before entering into a transaction. Nothing in these terms excludes or limits liability where doing so would be unlawful, nor does it remove any non-excludable statutory rights. Subject to those limits, IT-Guy and Xii Group are not responsible for indirect loss or for disputes arising from independent provider-client engagements.

18. Applicable law and contact

These terms are governed by the laws of the Republic of South Africa, subject to applicable mandatory consumer and other legal protections. Questions about provider eligibility or these terms may be sent to support@xiigroup.co.za.
